Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Cerulion services: the web application at app.cerulion.com, the hosted MCP endpoint at mcp.cerulion.com, and the associated APIs (together, the "Services"), operated by Cerulion ("Cerulion", "we", "us"). By creating an account or using the Services, you agree to these Terms.

These Terms take effect on September 1, 2025.

1. The Services

The Services let you upload robot data recordings ("bag data", for example MCAP or ROS bag files), have that data stored and indexed, and ask questions about it in plain English. Answers are generated with citations back to the underlying recording.

2. Your account

You need a Cerulion account to use most of the Services. You agree to provide accurate registration information, keep your credentials secure, and accept responsibility for activity under your account. You must be legally able to enter into these Terms to use the Services.

3. Your bag data and ownership

You retain full ownership of the bag data you upload. These Terms do not transfer any ownership of your data to Cerulion.

So that we can operate the Services, you grant Cerulion a limited, non-exclusive, worldwide, royalty-free license to host, store, process, index, and display your bag data, solely to provide, maintain, secure, and improve the Services for you. This license ends when you delete the relevant data or your account, except for residual copies in routine backups, which are purged on our normal backup cycle, and copies we must retain to comply with law.

You are responsible for having the rights to the data you upload and for ensuring your uploads do not violate law or third-party rights.

4. AI processing

The Services use large language models to answer questions about your bag data. Content from your recordings (messages, topics, timestamps, and summaries derived from them) is processed by Anthropic models running on AWS Bedrock to generate answers. Your bag data is not used to train foundation models.

Model-generated answers can be wrong. Citations exist so you can verify answers against the recording; do not rely on an answer you have not verified for any safety-critical decision.

5. Acceptable use

You agree not to misuse the Services. In particular, you will not: upload data you have no right to share; use the Services to violate any law or third-party right; probe, overload, or disrupt the Services or their infrastructure; attempt to access another user's data; or resell the Services without our written consent.

6. Beta status

The Services are currently offered as a beta. They are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Features may change, break, or be withdrawn without notice, and data loss can occur. Keep original copies of your recordings; do not treat the Services as your only copy of any data.

7. Fees

The beta is currently free. If we introduce paid plans, we will give you reasonable advance notice, and continued use of paid features after that notice will require a subscription.

8. Suspension and termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if we discontinue the Services; where practical, we will give you notice and a chance to export your data.

9. Limitation of liability

To the maximum extent permitted by law, Cerulion will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. To the same extent, Cerulion's total liability for all claims arising out of or relating to the Services is limited to the greater of the amounts you paid us in the twelve months before the claim and USD 100.

10. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you through the Services or by email before it takes effect. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules, and the courts of the State of Delaware have exclusive jurisdiction over disputes arising from them.
